Terms of Service

These Terms of Service ("Terms") govern your access to and use of Invory's inventory and point-of-sale software, dashboard, and any public storefront hosted through it ("the Service"), provided by Invory ("Invory," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you're accepting on behalf of a business, you're confirming you have the authority to bind that business to these Terms.

1. The Service

Invory provides tools for tracking inventory, recording sales, managing staff, and (optionally) running a public storefront, designed to keep working even with an unreliable internet connection and to sync once you're back online. Features, pricing, and plan availability may change over time; we'll make reasonable efforts to communicate material changes.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity that happens under your account, including anything done by staff you invite to a business — it's your responsibility to manage who has access and to remove staff who should no longer have it.

3. Subscriptions & Payment

Certain features require a paid subscription, billed at the rate and interval shown at checkout for the plan you select. Subscription and add-on payments are processed by Paystack; by subscribing, you also agree to Paystack's own terms governing that payment. You're responsible for keeping your subscription active to retain access to paid features, and for reviewing the current price and billing interval before paying, since prices may change between billing periods.

Except where required by law, payments are non-refundable, including for a partial or unused period. You may stop using paid features at any time; access to what you've already paid for continues for the period already covered.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or to record transactions you know to be fraudulent.
  • Attempt to access another business's data, or any part of the Service you're not authorized to use.
  • Interfere with, disrupt, or attempt to circumvent the security of the Service.
  • Reverse-engineer, resell, or white-label the Service without our written permission.
  • Upload content to a public storefront that is unlawful, infringing, or misleading to shoppers.

5. Your Responsibilities as a Business

You're responsible for the accuracy of the inventory, pricing, and sales information you record, and for how you use that information (including any credit/debt records you keep on your own customers). If you collect your own customers' personal information through Invory, you're responsible for doing so lawfully and for your own compliance with applicable data protection and consumer protection law — see our Privacy Policy for how that responsibility is split between you and Invory.

Invory records are the operational system of record for your business, but they don't replace your own statutory bookkeeping, tax, or regulatory obligations, which remain yours to meet.

6. Service Availability

Invory is designed to keep working offline and sync automatically once connectivity returns, but we don't guarantee the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance, and features may occasionally be unavailable. We're not liable for losses caused by service interruptions, sync delays, or connectivity issues outside our control.

7. Third-Party Services

The Service integrates with third parties — including Paystack for payments and your device's browser for push notifications — whose own terms and availability apply to those parts of the experience and are outside our control.

8. Intellectual Property

Invory and its original content, features, and functionality are owned by Invory and protected by applicable intellectual property law. Your own business data — products, sales, customer records — remains yours; using the Service doesn't give us ownership of it.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service for a violation of these Terms, non-payment, or conduct that risks harm to Invory, other users, or the Service's integrity. Where reasonably possible, we'll give notice before doing so.

10. Limitation of Liability

To the fullest extent permitted by law, Invory is provided "as is" without warranties of any kind, and Invory will not be liable for indirect, incidental, or consequential damages — including lost revenue or lost data — arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect means you accept the updated Terms.
